How we work, in writing

Engagement models
- Discovery Sprint. Fixed scope, fifteen working days, one hall. Deliverables are listed in the statement of work and match the sprint page. If the agreed thin slice is not running on the client's live data by day 15 for reasons within Asgharian's control, the sprint is not invoiced. The sprint fee is credited in full against a build squad that starts within 90 days.
- Build squad. A dedicated team billed monthly in advance. Either party may end the engagement with 30 days written notice. Team size can change monthly by agreement.
- Run and evolve. A monthly retainer covering monitoring, incident response under the agreed SLA, and an improvement budget. 30 days notice.
- Embedded programme team. Annual terms agreed per programme. 90 days notice.
Ownership
The client owns all code, documentation, data and configuration produced for it during an engagement, from the moment it is created, subject to payment of undisputed invoices. Work is carried out in client-owned repositories and cloud accounts wherever possible.
Asgharian Core licence
Asgharian Core modules are licensed to the client per deployment, perpetually, with source access, for use by the client and its contractors on the client's own sites. The licence survives the end of any engagement. It does not permit resale or redistribution of Core as a product. There is no per-point, per-user or per-site metering.
Security and access
Asgharian staff sign the client's NDA before receiving access, complete site induction where required, and use only the access the client grants. Collectors are read-only by default and outbound-only from the client's OT network. No write to a control system is made without a named client approver and a logged receipt.
Data
Telemetry and business data stay in client-controlled infrastructure. Where Asgharian processes personal data on the client's behalf it acts as processor under a data processing agreement. See the privacy notice.
Invoicing
Sprints are invoiced on completion, subject to the day-15 condition above. Squads and retainers are invoiced monthly in advance. Payment terms are 30 days. Expenses for site travel are pre-agreed and invoiced at cost.
Liability
Each party's liability is capped at the fees paid in the twelve months before the claim, except for breaches of confidentiality, data protection obligations or intellectual property warranties, and except where liability cannot be limited by law. Neither party is liable for indirect or consequential loss.
Governing law
Irish law and the courts of Ireland, unless the statement of work says otherwise.
